The corporate governance principles of Abbey’s Hope Charitable Foundation.

GOVERNANCE

Abbey’s Hope Charitable Foundation is led by a seven-person Board of Directors with all of the powers of governing and directing, and of overseeing the management and affairs of the Foundation. The Board of Directors is also charged with carrying out the Charitable Purpose of the Foundation and fulfilling its mission to keep kids safe from preventable harm. The corporate governance principles of Abbey’s Hope Charitable Foundation are composed of a series of documents adopted by the Board of Directors and reviewed periodically to ensure they continue to meet the needs of the organization and reflect current industry best practices. The Foundation’s Advisory Council provides the Board of Directors with valuable guidance and assistance in carrying out the Foundation’s Mission and is a critical component of the Foundation’s success.

CHARITABLE PURPOSE

Abbey’s Hope Charitable Foundation, a Minnesota nonprofit organization, is organized exclusively for charitable, educational, religious or scientific purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code of 1986, as amended (the “Code”). The Foundation will not be operated for profit but will be operated exclusively for charitable purposes. The specific charitable purposes of the Foundation are to: Promote awareness of and education related to child safety issues, including educating pool owners, operators, inspectors, and the general public about the dangers of pool entrapment, evisceration and drowning and the need for physical inspections of pool equipment.

Work with the pool and spa industry to improve the design of their products, packaging and warning labels, and assist in the development of product safety standards related to such products. Identify and provide support and assistance to organizations and programs that (i) provide support, resources, opportunities and outreach programs to children and families coping with serious childhood injuries or disease, and/or (ii) focus on improving the overall health, education and well-being of children by promoting healthy lifestyles, family resiliency, the arts, education, and social and civic awareness. To engage in such other activities described in Section 501(c)(3) of the Code as determined appropriate by the Foundation’s board of directors.

FINANCIALS & REPORTING

Abbey’s Hope Charitable Foundation is a nonprofit corporation organized under Chapter 317A of the Minnesota Statutes.

The Foundation has registered as a charitable nonprofit organization with the Office of the Minnesota Attorney General.
